01Acceptance of Terms
These Terms and Conditions ("Terms") govern your use of services provided by Covalent Bond LLC ("the Company", "we", "us", or "our") — a real estate investment and advisory company registered in Georgia, with operations conducted from Israel. By engaging our services, accessing our website, or communicating with us through any channel — including WhatsApp Business, email, or telephone — you ("the Client", "you") agree to be bound by these Terms in full.
If you do not agree with any part of these Terms, do not use our services. We may amend these Terms from time to time; continued use of our services constitutes acceptance of the revised Terms.
02Services Offered
Covalent Bond LLC provides the following professional services within the real estate sector:
- Real estate brokerage and intermediation services
- Renovation and property improvement management
- Property marketing and promotional services
- Investment consultation and property advisory
- Buyer and seller representation, including international clients
03Real Estate Brokerage Services
As a brokerage intermediary, the Company facilitates transactions between buyers, sellers, landlords, and tenants. Our role is strictly that of a licensed intermediary and advisor — not a principal.
Scope of Brokerage
- Identifying and presenting suitable properties or buyers
- Coordinating viewings, inspections, and negotiations
- Assisting with documentation and transaction logistics
- Liaising with notaries, banks, and the Public Registry of Georgia
The Company is not a party to the underlying purchase, sale, or lease agreement between principals. All final decisions regarding any transaction rest solely with the Client. Property descriptions, valuations, and market information are based on data we believe to be reliable but are not warranted as exhaustive or error-free.
04Renovation Management Services
The Company offers renovation management as a project coordination service. We engage qualified contractors, designers, and suppliers on the Client's behalf and supervise project execution.
Client Responsibilities
- Approval of project scope, budget, and design before commencement
- Timely payment of agreed milestones
- Provision of property access and required permits
Company Responsibilities
- Selecting reputable, vetted contractors and suppliers
- Monitoring quality, schedule, and budget adherence
- Providing regular progress updates and final handover
While we exercise professional diligence in selecting and supervising third-party contractors, the Company is not the direct provider of construction works. Workmanship guarantees and warranties are issued by the executing contractor in accordance with applicable law.
05Property Marketing Services
Property marketing services include professional photography, videography, virtual tours, copywriting, listing distribution across local and international platforms, paid advertising on Meta platforms (Facebook, Instagram, WhatsApp), and lead generation campaigns.
The Client grants the Company a non-exclusive licence to use property images, descriptions, and related materials for marketing purposes for the duration of the engagement and for a reasonable archival period thereafter. The Client warrants that any materials supplied are free of third-party rights.
06No Guarantee of Investment Returns
Any projections, forecasts, comparable-market analyses, or financial illustrations provided by the Company are based on publicly available data, historical trends, and reasonable assumptions at the time of issuance. They are presented for informational purposes only and do not constitute a promise, warranty, or contractual commitment of future performance.
Past performance is not indicative of future results. Market conditions, regulatory changes, currency fluctuations, and unforeseen events may materially affect outcomes. Clients are strongly advised to conduct independent due diligence and consult qualified legal, tax, and financial advisors before making any investment decision.
07Payment and Commission Terms
Brokerage Commission
Commission rates are agreed in writing prior to the commencement of services and are typically calculated as a percentage of the final transaction value. Unless otherwise agreed, commission becomes due and payable upon the successful completion of the transaction — defined as the signing of the purchase, sale, or lease agreement and the registration of the change of ownership where applicable.
Renovation and Marketing Fees
Renovation management fees are charged either as a fixed fee, a percentage of total project value, or on a milestone basis as specified in the relevant service agreement. Marketing services are billed according to the package selected, with paid-media spend invoiced separately at cost.
Payment Terms
- All invoices are payable within fourteen (14) calendar days of issuance unless otherwise agreed
- Payments may be made by bank transfer to the Company's designated account in Georgian Lari (GEL), United States Dollars (USD), Euros (EUR), or Israeli Shekels (ILS) where applicable
- Overdue amounts accrue interest at the statutory rate applicable in Georgia
- All fees are exclusive of VAT and other applicable taxes unless explicitly stated
- Refunds are governed by the specific service agreement; commission already earned on a completed transaction is non-refundable
08Liability Limitations
To the fullest extent permitted by Georgian law, Covalent Bond LLC's aggregate liability arising out of or in connection with any service provided shall be limited to the total fees actually paid by the Client to the Company in respect of the specific engagement giving rise to the claim.
The Company shall not be liable for:
- Indirect, consequential, incidental, or punitive damages
- Loss of profit, anticipated savings, business opportunity, or goodwill
- Acts, omissions, defaults, or insolvency of third parties including contractors, sellers, buyers, tenants, banks, notaries, and government agencies
- Defects in title, hidden defects in the property, or zoning and regulatory matters not disclosed in publicly available records
- Force majeure events including natural disasters, war, civil unrest, pandemic, or governmental action
Nothing in these Terms excludes or limits liability for fraud, willful misconduct, or any liability that cannot lawfully be excluded.
09Intellectual Property
All content on the Covalent Bond LLC website, marketing materials, branding (including the Covalent Bond name and visual system), photography, and proprietary methodologies remain the exclusive property of the Company. No content may be reproduced, distributed, or used commercially without prior written consent.
10Termination
Either party may terminate a service engagement by providing written notice in accordance with the specific service agreement. Termination does not affect rights and obligations accrued prior to the termination date, including the obligation to pay for services rendered and commission earned on transactions in progress.
11Governing Law and Jurisdiction
Prior to commencing legal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of not less than thirty (30) days.
